Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of urthfund.org and related services (the "Services") operated by UrthFund, a 501(c)(3) non-profit organization. By using the Services or making a donation, you agree to these Terms. If you do not agree, do not use the Services.

2. Donations and membership

One-time donations are accepted as gifts to UrthFund. No goods or services are provided in exchange. Donations are non-refundable except as described in Section 5.

Memberships are recurring contributions billed at the interval you select (monthly, quarterly, or annual). By becoming a member, you authorize UrthFund and its payment processor to charge your selected payment method on each renewal date. You may cancel any time from your member dashboard; cancellation takes effect at the end of the current billing period.

Tier designations are based on your annualized contribution and may change automatically as you change contribution amounts. Tier designations do not confer ownership, voting rights, or any other legal interest in UrthFund.

3. Tax-deductibility

UrthFund is a registered 501(c)(3) tax-exempt non-profit. Donations are tax-deductible in the United States to the fullest extent allowed by law. No goods or services of material value are provided in exchange for donations or membership contributions. Receipts are sent by email at the time of contribution and serve as written acknowledgment under IRS Section 170.

4. Member content and conduct

If you create a member profile, you are responsible for the content of your display name, message, website URL, and any other information you provide. You agree not to:

• Submit content that is unlawful, defamatory, infringing, obscene, or harassing
• Impersonate any person or entity, or misrepresent your affiliation
• Use the Services to solicit funds or sell products on your own behalf
• Attempt to access or interfere with non-public areas of the Services
• Use automated tools to scrape, monitor, or copy the Services

UrthFund reserves the right to remove member content or terminate memberships that violate these Terms, refund any unused portion of the current billing period at our discretion.

5. Refunds

One-time donations may be refunded within 30 days at our discretion by contacting us. After 30 days, refunds are not provided except in cases of demonstrable error (duplicate charges, fraudulent charges, etc.).

Membership cancellations stop future charges but do not refund prior charges. Partial refunds for a portion of a billing period are not provided.

6. Member seal usage

Members in good standing have a non-exclusive, royalty-free, revocable license to display their UrthFund member seal on personal and commercial materials (websites, packaging, print) to indicate membership status. This license does not authorize:

• Implying UrthFund's endorsement of your products or services beyond the membership relationship
• Modifying the seal beyond reasonable sizing
• Continued use after membership is canceled or expires

7. Intellectual property

All content on the Services (including text, graphics, logos, the UrthFund name and mark, the dodecagon design, and program descriptions) is owned by UrthFund or its licensors and is protected by US and international intellectual property laws. You may not reproduce, distribute, or create derivative works without prior written permission, except for the member seal usage described in Section 6.

8. Third-party services

The Services rely on third-party providers (Stripe for payments, Supabase for data, Resend for email, Vercel for hosting). UrthFund is not responsible for the operation or availability of third-party services, and your use of any third-party service is governed by that third party's terms.

9. Disclaimers and limitation of liability

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by law, UrthFund and its directors, officers, employees, and contractors are not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services. Our aggregate liability for any claim arising under these Terms is limited to the amount of your contributions to UrthFund in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless UrthFund and its directors, officers, employees, and contractors from any claims, damages, or expenses arising out of your use of the Services or your violation of these Terms.

11. Governing law

These Terms are governed by the laws of the State of [TO FILL IN, likely state of incorporation, e.g. California], without regard to conflicts of law principles. Disputes will be resolved exclusively in the state or federal courts located in [TO FILL IN].

12. Changes

We may update these Terms from time to time. Material changes will be reflected in the "Effective date" above and, where appropriate, communicated directly. Continued use of the Services after changes take effect constitutes acceptance.

13. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
